Agreement to Terms
By accessing ecom-x.com or purchasing any eComX service, you agree to these terms. If you don't agree, please don't use our services.
These terms apply to all visitors, subscribers, clients, and anyone who interacts with eComX.
Services
eComX provides the following services:
- BIOS installations: Full Brand Intelligence Operating System builds — a 6-tier, 33-specification framework customized to your brand
- Strategy calls: 60-minute paid consulting sessions ($500) covering live brand audits, AI leverage identification, and custom action plans
- Managed services: Ongoing BIOS management for founding clients, including agent operations, performance optimization, and strategic consulting
- Engram: Open-source brand intelligence tool (CC-BY 4.0)
- Axiom: Open-source AI development workflow system (CC-BY 4.0)
- Educational content: Journal articles, methodology documentation, and build-in-public content
Pricing & Payment
- All payments are processed through Stripe
- Prices are in USD unless otherwise stated
- Strategy call fee ($500) is credited toward a BIOS installation if you become a client within 90 days
- Refund policy: Strategy calls are non-refundable once the call has taken place. If eComX cancels or you cancel with 24+ hours notice, you'll receive a full refund. BIOS installation refunds are handled on a case-by-case basis — contact hello@ecom-x.com
- Founding client pricing is by agreement and documented in your individual service contract
Intellectual Property
- eComX IP: The BIOS methodology, framework architecture, 6-tier taxonomy, 33-spec system, agent configurations, and all related intellectual property belong to eComX. You are granted a license to use these within your business.
- Your IP: All deliverables created specifically for your brand — custom BIOS specifications, brand books, agent outputs, campaign content — belong to you.
- Open source: Engram and Axiom are released under CC-BY 4.0. You can use, modify, and redistribute them with attribution.
- Site content: All content on ecom-x.com (articles, documentation, illustrations) is © eComX unless otherwise noted.
Client Responsibilities
If you're a BIOS or managed services client, you agree to:
- Provide timely access to necessary data, accounts, and platforms
- Respond to requests within a reasonable timeframe (typically 48 hours for routine items)
- Designate a primary point of contact for project communications
- Ensure you have the authority to grant access to the data and systems required
Limitation of Liability
eComX provides consulting and technology services. We do not guarantee specific business outcomes, revenue increases, or performance improvements.
To the maximum extent permitted by law:
- eComX liability is limited to the fees paid for the specific service in question
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for damages resulting from your use or inability to use our services
- We are not responsible for third-party platforms (Stripe, Meta, Google, Shopify, etc.)
Confidentiality
We treat all client data as confidential. Specifically:
- Your business data, strategies, and internal information will not be shared with third parties
- We may use anonymized, aggregated data for case studies or methodology documentation — but never identifiable information without your explicit written consent
- Our team members with access to your data are bound by confidentiality obligations
Termination
- Strategy calls: Can be cancelled with 24+ hours notice for a full refund
- Managed services: Either party can terminate with 30 days written notice
- BIOS installations: Termination terms are defined in your individual service agreement
- Upon termination, you retain all deliverables created for your brand. We retain our methodology and framework IP.
Dispute Resolution
These terms are governed by the laws of the State of Wyoming, USA.
Before initiating any formal dispute, both parties agree to attempt good-faith resolution via email. If we can't resolve the issue, disputes will be settled through binding arbitration in Wyoming.
Changes to Terms
We may update these terms from time to time. Material changes will be communicated by email or site notice. Continued use of our services after changes constitutes acceptance.
